Build and Lead a Securities Practice Within an Established, Growing Commercial Firm
THE OPPORTUNITY
Our firm is seeking an entrepreneurial Securities Partner - or a small team of securities attorneys - to establish and build out a securities practice as part of our growing commercial law platform. This is a rare opportunity to build a practice from a position of strength: rather than starting from zero, you will step into a firm with 40+ years of market presence, an established base of business clients, entrepreneurs, real estate investors, and high net worth individuals, and a leadership team committed to actively feeding and growing your book of business.
Candidates should be capable of self-sustaining practice management from day one but should not expect to build alone. Our Corporate/M&A, Commercial Real Estate, Commercial Lending, Tax, and Trusts & Estates groups regularly encounter clients who need securities counsel - private placements, exempt offerings, fund formation, joint venture and syndication structures, and regulatory compliance - and currently refer that work outside the firm. We are looking for the right attorney(s) to capture it.
ABOUT THE FIRM
- A Maryland-based commercial law firm with more than 40 years in practice, currently staffed by approximately 26 attorneys and pursuing a strategic growth plan to reach 35-40 attorneys over the next four years.
- Full-service practice groups spanning Corporate/M&A, Commercial Real Estate, Commercial Lending, Land Use, Litigation, Tax, Trusts & Estates, and Family Law.
- A client base concentrated in closely held businesses, entrepreneurs, real estate investors and developers, banks and credit unions and high net worth individuals - a natural pipeline for securities and capital-raising work.
- Newly opened, modern office at 7910 Woodmont Avenue, Fourth Floor, Bethesda, Maryland, reflecting the firm’s continued investment in growth and infrastructure.
WHAT YOU WILL DO
- Establish, lead, and grow a securities law practice within the firm, with autonomy to build your own client relationships and practice systems.
- Advise business, real estate, and private fund clients on private placements, Regulation D and other exempt offerings, syndications, and fund formation.
- Counsel closely held and emerging companies on securities compliance, corporate governance, blue sky filings, and disclosure matters.
- Partner with the firm’s Corporate/M&A, Commercial Real Estate, and Commercial Lending attorneys on transactions with a securities or capital-raising component.
- Serve as the firm’s go-to securities resource for existing clients, converting outside referral work into in-house engagements.
- If leading a team - recruit, mentor, and develop associate talent as the practice grows.
- Participate in firm-wide business development and represent the securities practice in the firm’s broader growth strategy.
WHAT WE ARE LOOKING FOR
- An established securities practitioner (partner-level) or a small, cohesive team of securities attorneys with a portable book of business or a demonstrated ability to generate one quickly.
- Deep experience in private placements, exempt securities offerings, fund formation, and related corporate/regulatory work; broker-dealer or investment adviser regulatory experience is a plus.
- A track record of self-sufficient practice management - comfortable owning client relationships, billing, and practice economics.
- An entrepreneurial, collaborative mindset and interest in building something within a firm that will actively support that growth, rather than joining a practice that already exists.
- Maryland/DC/Virginia bar admission preferred (or willingness to obtain); active JD and clean disciplinary record required.
